In accordance with Regulation 30 of the Listing Regulations read with Schedule - III thereto, Titagarh Rail Systems has informed that, the Board of Directors of the Company at its meeting held on Wednesday, December 20, 2023 has pursuant to the recommendations of Talent and Leadership Pipeline Development Committee and Nomination & Remuneration Committee, approved the following management changes: Anil Kumar Agarwal, the Director (Finance) and Chief Financial Officer has been given the responsibility of serving as Deputy Managing Director and CEO of Freight Rail Systems and designated DMD & CEO (Freight Rail Systems) and he will be responsible for the entire business vertical of the freight rail systems of the Company with effect from 20th December, 2023. Brief profile as required under Regulation 30 of the Listing Regulations, read with SEBI Circular No. CIR/CFD/CMD/4/2015 dated 9th September, 2015 & SEBI/HO/CFD/CFD-PoD-1/P/CIR/2023/123 dated 13th July, 2023 (‘SEBI Circulars’) is enclosed as Annexure 1; Prithish Chowdhary, the Director (Marketing and Business Development), has been given a new assignment as a Whole-time Director and designated Deputy CEO (Passenger Rail Systems). Umesh Chowdhary, Vice Chairman & Managing Director of the Company is currently acting as the CEO of Passenger Rail Systems under whom Prithish Chowdhary would take charge of the day to day affairs of the Passenger Rail System business effective from 20th December, 2023. Brief profile as required under Regulation 30 of the Listing Regulations, read with SEBI Circulars is enclosed herewith as Annexure 2; The Board also decided to promote Saurav Singhania who is currently the Joint CFO as the Chief Financial Officer (CFO) of the Company. In his capacity of CFO he would also be the Chief Risk Officer of the Company with effect from 20th December, 2023. Brief profile of as required under Regulation 30 of the Listing Regulations, read with SEBI Circulars is enclosed herewith as Annexure 3. The meeting commenced at 11.00 am and concluded at 3.30 pm.
