Kalpena Industries has received an approval from Calcutta High Court vide its order dated July 28, 2011 for the proposed scheme of amalgamation of Bavaria Poly (Transferor Company) into Kalpena Industries (Transferee Company) and their shareholders. Further, the order of amalgamation will become effective from the transfer date after filing of the certified copy of the order with the registrar of companies, West Bengal.
Earlier, Kalpena Industries had received its board’s approval for the proposal relating to merger of Bavaria Poly with itself. The said approval was granted by the board at its meeting held on February 14, 2011. The board had also approved the scheme of merger and valuation reports in respect of the aforesaid merger.
Kalpena Industries engages in the manufacture and sale of polymer compounds in India and internationally. It offers PVC compounds, including insulation and sheathing for applications in flexible, thin, flat, heat resistant, flame retardant and low smoke, and oil resistant cables; and PE compounds, such as silane grafted XLPE compounds, XLPE compounds for vulcanization line, PE jacketing, and zero halogen FRLS compounds in various applications, including cable insulation, telephone cables, and flame retardant and low smoke cables.
