Magellanic Cloud  has informed that, Pursuant to the provisions of section 108 of the Companies Act, 2013 read with the Rule 20 of the Companies (Management and Administration) Rules, 2014 and Regulation 44 (3) of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 the Company had provided the facility for remote e-voting to the shareholders of the Company as on February 10, 2020 (being the cut-off date for the purpose of remote e-voting) to cast their votes on the items of business as stated in the Extra-Ordinary General Meeting (EGM). The remote e-voting had commenced on February 14, 2020 at 9.00 am and ended on February 16, 2020 at 5.00 pm. Deep Shukla, Practicing Company Secretary was appointed as the Scrutinizer to scrutinize the remote e-voting process. The Scrutinizer’s Report dated February 19, 2020 is attached as Annexure-I. In terms of the provisions of Regulation 44 of SEBI (Listing Obligations & Disclosure Requirements) Regulations, 2015, the company has enclosed the details of the Voting Results for the business transacted at the Extra-Ordinary General Meeting (EGM) of the Company held on February 17, 2020 in Annexure- II.
