With reference to its letter dated 26th April, 2021, wherein the company had intimated that the Hon'ble National Company Law Tribunal, Mumbai Bench ('NCLT') had by pronouncement of its Order on 26th April, 2021, approved the Scheme of Merger by Absorption of Mahindra Vehicle Manufacturers (‘MVML’ or ‘Transferor Company’) with Mahindra and Mahindra (‘M&M’ or ‘Transferee Company’) and their respective Shareholders (‘the Scheme’) under the provisions of Sections 230 to 232 and other applicable provisions of the Companies Act, 2013 read with the Rules framed thereunder. Pursuant to Regulation 30 of the Listing Regulations, and clause 22 of the said Order with respect to approval of the Scheme, Mahindra And Mahindra has informed that it has enclosed the advertisement published on 4th June, 2021 in the Newspapers, ‘Business Standard (in English) and Navshakti (in Marathi)’, informing the approval of the Scheme by NCLT on 26th April, 2021. A certified copy of the said Order issued by NCLT on 4th June,2021 is enclosed.
