In terms of Regulation 29(1) of the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015, as amended (the ‘SEBI LODR Regulations’), Equitas Small Finance Bank has informed that a meeting of the Merger Committee of the Board of Directors of the Bank is scheduled to be held on February 17, 2022 to consider and approve the issue price, including a discount, if any thereto as permitted under the SEBI ICDR Regulations, for the Equity Shares to be allotted to qualified institutional buyers, pursuant to the Issue. Further, in accordance with the Bank’s Code of Conduct to regulate, monitor and report trading by Insiders in securities of the Bank, the ‘Trading window’ will remain closed for ‘Designated persons & other Connected persons’ of the Bank from February 14, 2022 until the second trading day after February 17, 2022 from the conclusion of the Merger Committee. Take the above on record and the same be treated as compliance under the applicable provisions of the SEBI LODR Regulations as amended.
