Hindustan Zinc Ltd.

Hindustan Zinc has informed that the Company has received a Notice issued by the BSE and National Stock Exchange of India dated November 21, 2023 which levied fine for non- compliance with Regulation 17(1) of SEBI Listing Regulations, with respect to the Composition of Board of Directors relating to number of Independent Directors. The said non-compliance with regard to the composition of the Board of Directors relating to number of Independent Directors is not within the control of the Company since the matter is pending with the Ministry of Mines, Government of India and constant efforts are being made to meet the compliance requirements. Regular follow up is being done with Ministry of Mines, Government of India, New Delhi. The requirement of the Women Independent Director on the Board has already been fulfilled. The details as required under SEBI Listing Regulations read with Circular no. SEBI/HO/CFD/CFD-PoD1/P-CIR//2023/123 dated July 13, 2023 are enclosed as Annexure I.
