Swaraj Engines has informed that based on the recommendation of the Nomination and Remuneration Committee, the Board of Directors of the company at its meeting held today 26th July, 2024 considered and approved the following: • Appointment of Rajya Vardhan Kanoria (DIN: 00003792) as an Additional Director (Independent and Non-Executive) of the Company with effect from 31st July, 2024 and subject to the approval of the Shareholders of the Company to hold office as an Independent Director for a term of 5 consecutive years commencing from 31st July, 2024 to 30th July, 2029, • Resignation of Giju Kurian (DIN: 09629029) as Whole Time Director & Chief Executive Officer of the Company and Key Managerial Personnel under the Companies Act, 2013 with effect from close of 31st August, 2024. • Appointment of Devjit Sarkar as Chief Executive Officer of the Company and Key Managerial Personnel under the Companies Act, 2013 with effect from 1st September, 2024. The details as required under Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 read with SEBI Circular No. SEBI/HO/CFD/CFD-PoD1/P/CIR/2023/123 dated 13th July, 2023 are given in Annexure A to this letter. The meeting of the Board of Directors of the Company commenced at 9.30 am and concluded at 10.00 am. This intimation is also being uploaded on the Company's website at www.swarajenterprise.com.
