With reference to its letter dated January 30, 2024, intimating the approval granted by the Board of Directors of the Company to the Scheme of Amalgamation of LTEHE and LTOPL with L&T. Larsen & Toubro has informed that the Hon'ble National Company Law Tribunal, Chennai Bench (NCLT Chennai) and Hon'ble National Company Law Tribunal, Mumbai Bench (NCLT Mumbai) vide their respective orders dated December 18, 2024 and February 7, 2025, have approved the said Scheme of Amalgamation. The Appointed Date for the Amalgamation is April 1, 2024. The certified copy of the NCLT Mumbai order for amalgamation of LTEHE and LTOPL with L&T has been filed with the Registrar of Companies today i.e March 1, 2025, which is the effective date of the amalgamation as per the Scheme sanctioned by NCLT Mumbai and NCLT Chennai. Accordingly, LTEHE and LTOPL have ceased to be subsidiaries of the Company with effect from March 1, 2025.
