Zaggle Prepaid Ocean Services has informed that the Board of Directors of the Company at its meeting held today, Friday, October 03, 2025 have considered and approved the following business(es): Raising of funds through issuance of up to 10,58,201 (Ten Lakh Fifty Eight Thousand Two hundred and One Only) Warrants for cash at a price of Rs 567 (Rupees Five hundred and sixty seven only) per warrant (including a premium of Rs 566 (Rupees Five hundred and sixty six only) each (Warrant Issue Price), aggregating up to Rs. 59,99,99,967 (Rupees Fifty nine crores ninety nine lakhs ninety nine thousand nine hundred and sixty seven only), each Warrant convertible into 1 (one) fully paid-up equity share of the Company of face value of Rs 1 (Rupees One only) each, to the Promoter Group and Non-Promoter on a preferential basis in accordance with Chapter V of the Securities and Exchange Board of India (Issue of Capital and Disclosure Requirements) Regulations, 2018, subject to the approval of regulatory/ statutory authorities and the members of the Company at the ensuing Extra-Ordinary General Meeting and such other permissions, sanctions and statutory approvals, as may be required; The Relevant Date in terms of Securities and Exchange Board of India (Issue of Capital and Disclosure Requirements) Regulations, 2018 is October 1, 2025; Convening of Extra-Ordinary General Meeting of the members of the Company on Friday, October 31, 2025, through video conferencing or other audio-visual means, for seeking necessary approval of the Members for the aforesaid matter.
