Newgen Software Technologies has informed that Newgen Software Inc. (NSI), incorporated in the USA, a material Subsidiary of the Company has entered into an Agreement with a leading Financial Institution in the U.S. The aggregate value of the aforesaid Agreement is US Dollars 5,290,000. The details as per Regulation 30 of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 are enclosed. Further, it has confirmed that this transaction does not fall within the definition of a related party transaction as specified under the provisions of the Companies Act, 2013. Details as required to be disclosed as per BSE’s Circular No. 20230714-34 dated July 14, 2023, and NSE’s Circular No. NSE /CML/2023/57 dated July 14, 2023, are enclosed.
