With reference to the news article that appeared on the website https://www.cnbctv18.com dated November 17, 2025, with the headline ‘Blackstone to trim stake in Mphasis via large block deal soon: sources’, Mphasis has informed that the Company is not a party to any such purported potential transaction. Further, such transaction does not involve the Company, but rather involves its promoter, BCP Topco IX, part of Blackstone Group and, accordingly, the Company has reached out to the promoter to seek information. The company has informed that at this stage, there is no material event/ information which requires disclosure under SEBI (Listing Obligation and Disclosure Requirement) Regulations, 2015 (the ‘SEBI Listing Regulations’).
