With reference to its earlier disclosures dated December 27, 2024, July 18, 2025, August 07, 2025, October 18, 2025, November 04, 2025 and November 06, 2025 regarding the proposed Scheme of Amalgamation of Cigniti Technologies (‘Transferor Company’) with and into Coforge (‘Transferee Company’ or the ‘Company’) and their respective shareholders and creditors under Sections 230 to 232 and other applicable provisions of the Companies Act, 2013 read with rules made thereunder (‘Scheme’). Coforge has informed that the meeting of the Equity Shareholders of the Company was held on December 06, 2025 at 10:30 am (IST) through Video Conferencing (‘VC’)/ Other Audio-Visual Means (‘OAVM’), pursuant to the directions of Hon’ble NCLT (‘Meeting’), vide its order dated October 17, 2025 (‘Order’). In terms of the provisions of the Companies Act, 2013 and rules made thereunder and provisions of the SEBI Listing Regulations, the Company had provided remote e-voting and e-voting facility at the Meeting (‘E-Voting’). The Hon'ble NCLT had appointed Yashraj Singh (Advocate) as the Scrutinizer to scrutinize the E-Voting process. The report of Scrutinizer dated December 06, 2025 and the details of the Voting results in terms of the provisions of Regulation 44 of the SEBI Listing Regulations are enclosed.
