SG Finserve has informed that this is with reference to the disclosure submitted with Stock Exchange(s) dated 23rd January, 2026, pursuant to Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 (SEBI Listing Regulations), with respect to proposed incorporation of a wholly owned subsidiary(WoS) for carrying out the business of Insurance Broking (life and non-life). Further to above disclosure, as per the approval of Registrar of Companies, a WoS named ‘SG Insurance Brokers Limited’ is incorporated on June 19, 2026. The Company has received the Certificate of Incorporation of ‘SG Insurance Brokers Limited’ on June 20, 2026. Details as required under the SEBI Listing Regulations read with the SEBI Master Circular HO/49/14/14(7)2025-CFD-POD2/I/3762/2026 dated January 30, 2026, as amended from time to time, are provided in Annexure A to this letter.
