Asian Paints has informed that the Board of Directors of the Company at their meeting held today, Wednesday, 29th July 2026, based on the recommendations of the Nomination and Remuneration Committee, have unanimously approved the appointment of Shubhlakshmi Dani (DIN: 02942138) as an Additional and Non-Executive Director of the Company, with immediate effect. Her appointment as a Non – Executive Director, liable to retire by rotation, shall be subject to the approval of the shareholders of the Company. The brief profile of Shubhlakshmi Dani is enclosed as Annexure A. Shubhlakshmi Dani is the spouse of Hasit Dani, former Non-Executive Director of the Company, sister-in-law of Malav Dani, Non-Executive Director of the Company and a member of the Promoter(s) Group of the Company. She is not related to any other Directors or Key Managerial Personnel of the Company. To the best of its knowledge and information and as confirmed by Shubhlakshmi Dani, she has not been debarred from holding the office as a Director of the Company, by virtue of an Order passed by the Securities and Exchange Board of India or any other authority. Further, as affirmed by her, she is not disqualified from holding the office as a Director pursuant to the provisions of Section 164 of the Companies Act, 2013. The approval of the shareholders for the aforesaid appointment will be sought by Postal Ballot and requisite details will be communicated in due course. The Board meeting commenced at 9.30 AM IST and will continue till its scheduled time up to 4.00 PM IST.
