With reference to earlier announcement dated February 26, 2014, conveying Board’s approval of a Scheme of Amalgamation of two of the Company’s subsidiaries with the Company under Section 391 to 394 of the Companies Act, 1956, India Cements has now informed that a meeting of the Board of Directors of the Company will be held on May 26, 2014, to consider audited accounts for the quarter and year ended March 31, 2014. The Audit Committee of Company Board will review the accounts at a meeting to be held earlier to the Board meeting, on the same day. Further, the Board of Directors of the Company will consider, the aforesaid Scheme of amalgamation, duly updated and presently structured as Scheme of Amalgamation and Arrangement between Trinetra Cement Limited (First Transferor Company) an listed Company and Trishul Concrete Products Limited (Second Transferor Company), an unlisted Company (both the companies being the Company’s subsidiary companies) with The India Cements Limited (Transferee Company) and their respective Shareholders.
