The Alchemists Ark Pvt.Ltd is a private limited company having its registered office at B-101, Signet Corner, Baner-Balewadi Junction, Baner Road, Baner, Pune – 411045, INDIA. MoneyWorks4me is a division of the Alchemists Ark Pvt.Ltd and is a SEBI registered Investment Adviser under the SEBI (Investment Adviser) Regulations, 2019 with registration number INA000013323.

MoneyWorks4me has employed adequate safeguards in order to ensure independence of its research activities from its other business activities and maintains appropriate written internal policies and control procedures governing the dealing and trading of securities by any of its research analysts and/or employees. All the research analysts employed by MoneyWorks4me are generally abiding by the Code of Conduct specified in the Regulations in the course of providing services as research analysts.

The User(s) shall alone be responsible for the incorrect recommendations provided to them on the basis of incorrect or incomplete information provided by them to MoneyWorks4me.

10. MoneyWorks4me reserves the right to make modifications and alterations as may be required from time to time with or without prior notice. MoneyWorks4me is committed to providing independent and transparent recommendation to its User(s).

11. Neither MoneyWorks4me nor any of its associates, group companies, directors, employees, agents or representatives shall assume any responsibility concerning the use of information and shall not be liable for any damages whether direct, indirect, special or consequential including loss of revenue or lost profits that may arise from or in connection with the use of the information.

12. MoneyWorks4me, its directors, officers, employees, affiliates and associates do not receive any fees, commission, compensation or other benefits from the subject company or third party in connection with the information provided on the Site and or the views and opinions expressed.

13. MoneyWorks4me is not responsible for activities happening on third party sites such as the trading/broking platform, etc.

14. The transactions involving foreign exchange may entail risks from several factors including exchange rates fluctuations, changes in the value of currencies, etc.

15. MoneyWorks4me is not a Portfolio Manager, Broker nor a Sub-broker and is not registered with any stock exchange.

16. MoneyWorks4me does not execute transactions on behalf of the User and is based upon a discretionary model wherein the User(s) shall take decisions after full and complete research and in accordance with advice received by it through professionals.

17. User(s) agree that investing in equity involves risk and that Moneyworks4me does not give any guarantee of performance.

18. The payment gateway shall be responsible for effecting the payments during trading activities executed through the Site and MoneyWorks4me its directors, employees, affiliates and associates shall not be responsible or liable in any manner whatsoever for the late payments or losses incurred on account of the same. MoneyWorks4me does not in any way directly deal with or handle the money of the Users.

19. There are no outstanding litigations against MoneyWorks4me, it subsidiaries and its directors.

20. The documents/reports/research analysis available on the Site does not constitute an offer or solicitation for the purchase or sale of any security/financial instrument or as an official confirmation of any transaction. MoneyWorks4me, its directors, employees, affiliates and associates shall not be in any way responsible for any loss or damage that may arise to any person from any inadvertent error in the information contained on the Site. The documents/reports/research analysis are provided for assistance only and is not intended to be and must not alone be taken as the basis for any decision.

21. All layout, design, original artwork, concepts and other intellectual properties remain the property and belong to MoneyWorks4me and may not be used in any form or for any purpose whatsoever by any party without the express written permission of MoneyWorks4me.

22. All dealings, if any, done by MoneyWorks4me or its officers and employees are done in accordance with its internal policies and procedures in accordance with the Regulations.

23. MoneyWorks4me , its officers and employees do not participate in business activities aimed at soliciting investment banking or merchant banking or brokerage services business, such as sales pitches and deal road shows.

24. The employees of MoneyWorks4me are not engaged in sales trading, dealing, corporate finance advisory or any other activity that could affect the independence of its research report. Similarly, MoneyWorkss4Me takes full efforts to maintain an arms-length relationship between its research activity and other activities.

25. MoneyWorks4me does not provide any promise or assurance of favourable review in its research report to a company or industry or sector or group of companies or business group as consideration to commence or influence a business relationship or for the receipt of compensation or other benefits.

26. Subject to the applicable law, Moneyworks4me, its officers and employees may invest in the subject company in respect of whose securities any recommendations or suggestions are made.

27. MoneyWorks4me, its officers do not provide a research analysis or a research report regarding a subject company for which they have acted as a manager or co-manager subject to the applicable law.

28. MoneyWorks4me, its officers do not engage in any communication with a current or prospective User in the presence of personnel from investment banking or merchant banking or brokerage services divisions about an investment banking services transaction

29. The compensation and other benefits received by MoneyWorks4me, its officers is not directly or indirectly related to the specific recommendations, suggestions, opinions given on the Site.

30. MoneyWorks4me, its officers take reasonable care to achieve and maintain independence and objectivity in making any recommendations, suggestions and opinions

31. MoneyWorks4me has no actual/beneficial ownership of one per cent or more securities of the subject company.

32. MoneyWorks4me does not and will not have any material conflict of interest at the time when the recommendations are made and/or research reports are published and/or at the time of making a public appearance.

33. MoneyWorks4me has not managed or co-managed public offering of securities for the subject company in the twelve months preceding the date of recommendation and/or publishing the research reports/analysis.

34. MoneyWorks4me has never been engaged in market making activity for the subject company.

35. Though the reports/recommendations are disseminated to all the customers simultaneously, not all customers may receive it at the same time.

36. MoneyWorks4me shall not be liable for any loss of information howsoever caused whether as a result of any interruption, suspension, or termination of the Services and Site or otherwise. MoneyWorks4me shall not be held liable for any loss of data technical or otherwise, information, particulars supplied by Users due to the reasons beyond its control like corruption of data or delay or failure to perform as a result of any causes or conditions that are beyond its control including but not limited to strike, riots, civil unrest, government policies, tampering of data by unauthorized persons like hackers, war and other natural calamities.

37. This is a private Site owned by MoneyWorks4me. Any unauthorized scanning, use or exploitation of the same is strictly prohibited. If any User(s) is found to do so, MoneyWorks4me may bring civil and/or criminal action and/or legal proceedings against the User(s) shall be entirely at the User’s your costs and consequences.

38. MoneyWorks4me has appointed Mr./Ms. Shrikant Jagtap as the Compliance Officer who is responsible for monitoring the compliance of the provisions of applicable law.

II. No Warranties

The Site is provided "as is" without any representations or warranties, express or implied. MoneyWorks4me and its group companies, directors, officers, employees, affiliates and associates make no representations or warranties in relation to the Site or the information and materials provided on the Site to the effect that

1. The Site will be constantly available, or available at all; or

2. The information on the Site is suitable for the intended purposes of the User, or.

3. The information will be relevant for all current and future transactions.

4. The information sourced from third party data providers, news items, research reports, company websites etc is true, complete and accurate.

III. Notices

All notices to or upon the Site shall be effective if made in writing and sent to the registered office of the Alchemists Ark Pvt. Ltd., situated at Office No. B-101 to 105, First Floor, B-Wing, Signet Corner, S.No-134, Baner, Pune- 411 045, India by speed post or registered post acknowledgment due.

IV. Miscellaneous

1. If any provision of this Site disclaimer is, or is found to be, unenforceable under applicable law, that will not affect the enforceability of the other provisions of this Site disclaimer.

2. This Site disclaimer along with the changes made to it from time to time constitutes the entire understanding between the User(s) and MoneyWorks4me on the subject matter.

V. Dispute Resolution

This Site disclaimers and the interpretation of the provisions shall be governed by laws of India and all disputes arising hereunder shall be subjected to the jurisdiction of the Courts of Pune, Maharashtra, India only.
