Further to letter dated May 4, 2017 and in accordance with the Regulation 44(3) of SEBI (Listing Obligation and Disclosure Requirements) Regulations, 2015, Wipro has submitted the voting results and Scrutinizers Report for the resolutions for increase in the Authorised Share Capital of the Company, consequential amendment to Memorandum of Association and issue of Bonus Shares, as set out in the Postal Ballot Notice dated April 25, 2017. The aforesaid resolutions have been passed through Postal Ballot and e-voting by Members by requisite majority. Consequent to the approval, the Company’s Authorised Share Capital stands increased from Rs 610 Crores to Rs 1,126.50 Crores. Pursuant to Regulation 30 of SEBI (Listing Obligation and Disclosure Requirements) Regulations, 2015 and clause 204.00(B) of NYSE Listed Company Manual a copy of the amended Memorandum and Articles of Association is enclosed.
