Suzlon Energy has informed that the Board of Directors of the Company at its Meeting held on 27th February 2020 (which commenced at 9.00 pm and concluded at 11.00 pm), has, approved the the Company’s proposal for restructuring of debt of the Company and its certain identified subsidiaries formulated under the Reserve Bank of India (Prudential Framework for Resolution of Stressed Assets) Directions, 2019 issued by Reserve Bank of India vide its circular dated 7th June 2019 which includes issuance of Securities of the Company to one or more lenders, whose details are as mentioned in Annexure 1; An enabling resolution in terms of Section 62(3) of the Companies Act, 2013 for issuance of equity shares on conversion of loan / debentures into equity; Issuance of equity shares / equity linked instruments to an extent of Rs.1,000 Crores (this is an enabling resolution to facilitate the Company to issue securities at an appropriate time should that be required); Approval for divestment / dilution / disposal of the Company’s investment(s) / asset(s) / undertaking(s); Issuance of equity shares / CCDs of the Company on preferential basis to the promoters / certain persons / entities (as mentioned in Annexure 2) to an extent of Rs.400 Crores in terms of Securities and Exchange Board of India (Issue of Capital and Disclosure Requirements) Regulations, 2018; Amendment to the Articles of Association of the Company; Increase in the Authorised Share Capital and alteration of the Capital Clause of the Memorandum of Association of the Company; Convening an Extra Ordinary General Meeting of the Company for seeking the approval of shareholders for various matters; and appointment of Sameer Shah (DIN: 08702339) as an Additional Director in the capacity of an 'Independent Director' of the Company with effect from 27th February 2020 for a term of five years subject to regularization of the appointment by the shareholders of the Company at the next Annual General Meeting of the Company.
