Lotus Chocolate Company has informed that the meeting of Board of Directors was held today on Wednesday, 25th day of August, 2021 at 10.15 am at 8-2-596, 1st Floor, 1B, Sumedha Estates, Avenue-4, Puzzolana Towers, Street No.1, Road No.10, Banjara Hills, Hyderabad- 500 034(TG), wherein the following matters have been discussed and approved: The Board approved the Draft Notice for 32nd Annual General Meeting together with Corporate Governance Report and its requisite Annexures for the financial year ended on 31st March, 2021, which further forms part of the Annual report for the year ended on 31st March, 2021; The Board discussed and approved the Board’s Report along with the respective annexures as prepared in accordance with section 134 of the Companies Act, 2013 read with rule 8 of the Companies (Accounts) Rules, 2014 and the Management Discussion and Analysis Report for the Year ending on 31st March, 2021. The same shall form part of the Annual report of the Company; The 32 Annual General Meeting (AGM) of the members of the Company will be held on Saturday, September 18, 2021 at 9.00 am (IST) through Video Conferencing (VC)/ Other Audio-Visual means (OAVM); The Secretarial Auditor's Report in Form-MR-3, for the financial year 2020-21, in accordance with Section 204 of the Companies Act, 2013 was received and noted by the Board. The said Report shall be annexed to the Board’s Report; The Board took note of Certificate on Compliance with the Corporate Governance issued by the Practicing Company Secretary for the Financial Year 2020-21; The Register of members and the share Transfer Books will remain closed from 12nd September, 2021 to 18th September, 2021 for the purpose of 32nd Annual General Meeting and the Cut-off date will be 11th September, 2021 for determining the list of shareholders eligible for e-voting; and the Board approved the appointment of Rakhi Agarwal, Practicing Company Secretary as Scrutinizer for the purpose of e-voting at the 32nd Annual General Meeting.
