In continuation to letter dated September 29, 2021 and pursuant to the provisions of Regulation 30 of the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015 (‘SEBI Listing Regulations’) and based on the recommendations of the Management Development, Nomination and Remuneration Committee and the Audit Committee, Ador Fontech has informed that the Board of Directors of the Company, at its Meeting held on Thursday, November 11, 2021 considered and approved the appointment of Geetha D as Chief Financial Officer (CFO) of the Company with immediate effect. Further, to the said appointment, Geetha D will be designated as Chief Financial Officer and Company Secretary (CS). Additionally, in compliance of Section 2(51) of the Companies Act, 2013 read with Regulation 2(o) of SEBI Listing Regulations, Geetha D shall continue as Key Managerial Personnel and Compliance Officer (CO) of the Company. The details/ disclosures required under Regulation 30 of the SEBI Listing Regulations, read with Schedule III thereto and the SEBI Circular No. CIR/CFD/CMD/4/2015 dated September 9, 2015 (‘SEBI Circular’), is enclosed as Annexure I to this letter.
