As per Regulation 15(2) of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, the compliance with the corporate governance provisions as specified in Regulation 17 to 27 and Clauses (b) to (i) of Sub Regulation (2) of regulation 46 and Para C, D and E of Schedule V shall not be applicable in respect of: The Listed Entity having paid-up equity share capital not exceeding Rs. 10.00 Crore and net worth not exceeding Rs. 25.00 Crore as on the last day of the previous financial year. With regard to same, Hem Holdings And Trading has informed that the paid-up equity share capital of the Company does not exceed rupees Ten Crore and Net Worth does not exceed rupees Twenty Five Crore as on 31st March, 2022. Hence, the Company is not required to submit the Related Party Transaction disclosure as required under Regulation 23(9) of SEBI (LODR) Regulations, 2015.
