Pursuant to Regulation 30 read with Schedule III of the SEBI (Listing Obligations and Disclosure Requirements), Regulations, 2015, Gujarat Natural Resources has informed that the Board of Directors of the Company in its meeting held today, i.e. on Saturday, 7th January, 2023 has accorded Company's consent, to the Scheme of Amalgamation proposed between its Indian wholly owned subsidiary, GNRL Oil & Gas (I) and its step down subsidiary GNRL Oil & Gas under Section 230 to 232 and other applicable provisions of the Companies Act, 2013, in the capacity of shareholder of GNRL Oil & Gas (I). Further, in order to expedite the process, the Company has approved and agreed to waive the right to receive the notice for calling the meeting of Equity Shareholders for approving the Scheme.
