Jyoti Resins and Adhesives has informed that 30th Annual General Meeting (‘AGM’) of the Members of the Company was held on Friday, 22nd September 2023 at 10:30 am through Video Conferencing (VC) / Other Audio-Visual Means (OAVM). In accordance with the requirements of the Companies Act, 2013 and Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015, the Company had provided the facility to its members holding shares as on cut?off date Friday, 15th September, 2023 to exercise their rights to vote through electronic means on the resolutions specified in the AGM notice, through remote e?voting facility which commenced on Monday, 18th September, 2023 at 9:00 am and ended on Thursday, 21st September, 2023 at 05:00 pm and through e?voting facility to those members who have attended the AGM but could not exercise their vote through remote e?voting. The Company has appointed Utkarsh Shah & Co., Practicing Company Secretary, Ahmedabad (Mem. No. F12526, COP: 26241) to act as Scrutinizer for conducting voting process in a fair and transparent manner. As per Scrutinizer’s report, all the resolutions as set out in the Notice of 30th AGM have been duly approved with requisite majority, which are enclosed. The company has submitted consolidated results of Remote e-voting + e-voting at AGM along with Scrutinizer Report as Annexure A and Annexure B respectively.
