Pursuant to Regulation 30 of SEBI (Listing Obligation and Disclosure Requirements) Regulations, 2015 (‘the Regulations’), Transwarranty Finance has informed about the following changes, in the Composition of the Board: Shishir Vasant Dalal (DIN:00007008), has tendered his resignation as the Independent Director of the Company, with effect from 29th January, 2024 citing Personal Reasons. Consequently, he shall also cease to be a member of the Audit Committee of the Company. The letter of resignation received from Shishir Dalal is enclosed. The information in regard to the abovementioned change in the Board Composition in terms of Regulation 30 read with Schedule III – Para A Part A Clause 7B is enclosed.
