With refer to letter dated February 12, 2024, whereby the Company had submitted copy of Postal Ballot Notice dated February 08, 2024 seeking approval of the Members on the following Resolution: To consider and approve the shifting of the Registered Office of the Company from the National Capital Territory (NCT) of Delhi to the State of Telangana, and pursuant to Regulation 44(3) of the Listing Regulations, Som Datt Finance Corporation has informed that the above-mentioned Resolutions have been passed by the Members. The Resolutions are deemed to have been passed effectively on the last date specified for remote e-voting i.e., March 14, 2024. In connection with the above, it has attached Scrutinizer’s Report, pursuant to Section 108 of the Companies Act, 2013 and Rule 20 of the Companies (Management and Administration) Rules, 2014, along with the remote e-voting results of the Postal Ballot, pursuant to Regulation 44(3) of the Listing Regulations. The voting results and Scrutinizer’s Report are being placed on the Company’s website www.somdattfin.com and on the website of National Securities Depository at www.evoting.nsdl.com.
