In compliance with Regulation 30 of the SEBI LODR Regulations, Amber Enterprises India has informed that the Board of Directors of IL JIN Electronics (India) (‘IL JIN’), the material subsidiary of the Company, at its meeting held today 7 May 2024, based on the recommendation of the Nomination and Remuneration Committee of IL JIN and subject to the approval of the shareholders at the ensuing Annual General Meeting of IL JIN, has, approved the following:- Re-appointment of Arvind Uppal (DIN: 00104992) and Lovely Mehra (DIN: 01955495) as Independent Directors of the Company for a second term of 5 consecutive years with effect from 13 May 2024. Arvind Uppal (DIN: 00104992) and Lovely Mehra (DIN: 01955495) have confirmed that they meet the criteria of ‘Independence’ under the provisions of the Companies Act, 2013. The disclosures pertaining to this, as required under SEBI LODR Regulations, read with SEBI Circular No. CIR/ CFD/CMD/4/2015 dated 09 September 2015, SEBI Circular No. SEBI/HO/CFD/CFD-POD-1/P/CIR/2023/123 DATED 13 July 2023 and other applicable SEBI Circular(s), is attached as Annexure-A.
