In terms of provisions of Regulation 30 read with para-A of schedule III of Securities Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulation, 2015 as amended, Manipal Finance Corporation has informed that the Board of Directors of the Company, at its meeting held today has considered and approved the following: Resignation of Srikara Mallya (DIN 08409522) for the post of Non-Executive Non-Independent Director of the Company; Appointment of Hiriadka Mohandas (DIN: 06926720) as an additional director in the category of Non-Executive, Non-Independent Director of the company with immediate effect; Resignation of Tonse Sanjay Pai to the post of Chief Financial Officer of the Company; Appointment of Srikara Mallya as Chief Financial Officer of the Company with immediate effect. Brief profile of Hiriadka Mohandas and Srikara Mallya in terms of the SEBI Listing Regulations, is annexed Annexure-l. Further, the disclosures as required under Regulation 30 of the Listing Regulations read with SEBI Circular on Continuous Disclosure Requirements (SEBI Circular CIRJCFD/CMD/4/2015 dated September 09, 2015), concerning the above appointment of CFO is enclosed Annexure II to this letter. The meeting commenced at 11.00 am and concluded at 11.30 am.
