Manpasand Beverages has informed that the Board of directors of Manpasand Beverages (the company) at their meeting held today 06.07.2024, has based on the recommendations of Nomination and Remuneration Committee and subject to the approval of shareholders, approved the appointment of Shobhit Kulshrestha (DIN: 08486861) as an Additional Independent Director of the company from the conclusion of the Board Meeting till the conclusion of the ensuing General Meeting; Pursuant to Section 135, 177, 178 and other applicable provisions of the companies act, 2013, read with Regulation 18, 19, 20, 21 and other applicable regulations of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, approved reconstitution of committees. Further, as per the requirement of Circular No. LIST/COMP/14/2018-19 and NSE/CML/2018/24 dated June 20, 2018 issued by the BSE and NSE respectively, we hereby confirm that Shobhit Kulshrestha (DIN: 08486861) is not debarred from the holding the office of director by virtue of any order passed by the SEBI or any other such authority. In the view of the above, it enclosed the brief profile of Shobhit Kulshrestha and details required as per SEBI circular no. CIR/CFD/CMD/4/2015 dated September 9, 2015 read with SEBI Master Circular No. SEBI/HO/CFD/CFD-PoD-1/P/CIR/2023/123 dated July 13, 2023 as Annexure-‘A’; The first meeting of the board of directors commenced at 12.30 pm IST and concluded at 1.00 pm.
