Digicontent has informed that the Board of Directors of the Company at its meeting held today, 22nd July, 2024 (which commenced at 11:30 am and concluded at 11:55 am has transacted the following businesses: Approved the Un-Audited Financial Results (Standalone & Consolidated) (UFRs) of the Company for the quarter ended on 30th June, 2024, pursuant to Regulation 33 of the SEBI LODR; (enclosed as Annexure-I) ; Took on record the Limited Review Report of B S R and Associates, Chartered Accountants (Statutory Auditors) on the above UFRs; (enclosed as Annexure-I); Took note that Samudra Bhattacharya (DIN: 02797819), Non-Executive Non-Independent Director shall retire at the ensuing Annual General Meeting (AGM) of the Company; and Based on the recommendation of Nomination & Remuneration Committee, the Board of Directors, in compliance with the applicable provisions of the Companies Act, 2013 and SEBI LODR, recommended the appointment of Sandeep Rao (DIN: 08711910) as a Non-Executive Non Independent Director to the Members of the Company at ensuing AGM to be held on 23rd September, 2024, for their approval.
