With reference to its Corporate Announcement dated 16-Dec-2024, Transcorp International has informed that the company has received email from BSE on Friday 13th December 2024 to impose a fine of Rs. 5,000 on the Company by BSE as per SEBI circular no. SEBI/HO/CFD/PoD2/CIR/P/2023/120 dated July 11, 2023 (Chapter-VII(A)-Penal Action for Non-Compliance), issued by Securities and Exchange Board of India (SEBI) for late submission of related party transactions for the half year ended September 2024 under Regulation 23 (9). Pursuant to Regulation 30 of SEBI (LODR) Regulations, 2015, the company made a corporate announcement to BSE on December 16, 2024. The delay occurred because the email from BSE was received on December 13, 2024 (Friday), and the following days, December 14 and 15, were Saturday and Sunday when the office was closed. The disclosure was made immediately upon resumption of office operations on Monday, December 16, 2024. The details required under Regulation 30 of the Listing Regulations read with SEBI Circular No. SEBI/HO/CFD/CFD-PoD-1/P/CIR/2023/123 dated July 13, 2023 are given in the enclosed Annexure - I.
