VB Industries has informed that the Board, at its’ meeting held on 17th January 2025, have approved the resignation Gwal Das Vyas Managing Director of the Company, upon recommendation of Nomination & Remuneration Committee. Further, the Company has appointed Dhruva Narayan Jha, currently appointed as an Independent Director, as Chairman & Managing Director of the Company with effect from 17th January 2025. Furthermore, the Company has appointed as Anand Bagaria as an Independent Director of the Company for a period of 5 years, effective from 17th January 2025. Above appointments are subject to approval of Members under Postal Ballot Rules. Furthermore, it is to say and submit that there is no other reason except as provided in attachment. Pursuant to Regulation 30 of SEBI (Listing Obligations and Disclosure Requirements), Regulations, 2015 (‘Listing Regulations’), it attached disclosures as required in terms of Regulation 30 of the Listing Regulations and SEBI Circulars issued in this regard. Meeting was commenced at 11.50 Hrs and concluded at 12.45 Hrs.
