Datamatics Global Services has received an approval for sale/transfer of the whole or substantially whole of the company’s ‘Digital Publishing & Retail Solutions' (DPRS) business/undertaking of the company, as a going concern basis, by way of slump sale, to a new company which is in the process of being incorporated to be named as ‘Datamatics eRetail & Publishing’, Chennai, subject to the approval of shareholders and other regulatory approvals. The board of director at its meeting held on August 14, 2013 has approved for the same.
The board also approved the draft framework agreement envisaging the sale / transfer of DPRS business/undertaking of the company, as a going concern basis to a new company to be named as Datamatics eRetail & Publishing and subsequent merger of Datamatics eRetail & Publishing with Lexicon Publishing Services, Chennai, subject to appropriate approvals.
