Pursuant to Regulation 30 read with Schedule III of the SEBI (Listing Obligations and Disclosure Requirements) Regulations 2015 ('Listing Regulations'), Archidply Industries has informed that the Board of Directors of the Company, at their meeting held today, Saturday, April 26, 2025, based on the recommendation of the Nomination and Remuneration Committee, and subject to the approval of the shareholders of the Company, have unanimously approved the appointment of Anchal Mittal (DIN: 08132565) as an Additional Director (Non-Executive Independent Women Director) of the Company with effect from April 26, 2025, Anchal Mittal has confirmed that she meets the criteria of 'independence' under Section 149 of the Companies Act, 2013, and Regulation 16 of the Listing Regulations. Further, she has also confirmed that she is not debarred from holding the office of Director by virtue of any Order passed by the Securities and Exchange Board of India or any other such authority. The disclosures required under Regulation 30 of the Listing Regulations, read with SEBI Circular No. SEBI/HO/CFD/CFD-PoD-1/P/CIR/2023/123 dated July 13, 2023, concerning the above reappointments, are enclosed as Annexure A to this letter.
