Veranda Learning Solutions has informed that in reference refer to earlier intimations dated May 22,2023 and May 17,2025 (Earlier Intimations) regarding the acquisitions of Veranda K-12 Learning Solutions (Veranda K12) formerly known as Educare Infrastructure Services Private Limited by Veranda Administrative Learning Solutions (VALSPL), a wholly owned subsidiary of the Company. Further to our earlier intimations, we wish to inform you that VALSPL has successfully completed the acquisition of the remaining equity stake in Veranda K-12, as outlined below: 4,924 fully paid-up Equity shares of Rs 10 each of Veranda K-12 Learning Solutions (constituting 9.60% Equity Share Capital of Veranda K-12).This acquisition was carried out for cash consideration, and as a result Veranda K-12 has become a wholly owned subsidiary of VALSPL.
