In terms of Regulation 30 of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 (‘Regulations’) and other applicable provisions of the Regulations, Hardcastle & Waud Manufacturing Company has informed that the first term of appointment of Vimal Chand Kothari (DIN: 00056003) as an Independent Director of the Company has come to an end by efflux of time on 21.09.2025 and he has accordingly ceased to be an independent director of the Company. Further, the Company has received a letter (copy enclosed) from Vimal Chand Kothari, expressing his unwillingness to continue for a second term as an Independent Director of the Company on account of age factor. Vimal Chand Kothari has confirmed that there is no other material reason other than those stated in his letter.
