Spencer’s Retail has informed that pursuant to Regulation 30 and other applicable Regulations of the SEBI (Listing Obligations and Disclosure Requirement) Regulations, 2015, the Board of Directors of the Company, at the meeting held today September 19, 2025, upon recommendation of the Nomination and Remuneration Committee and Audit Committee, have considered and approved, the appointment of Manjir Basu as the Chief Financial Officer and Key Managerial Personnel of the Company with immediate effect. Sandeep Kumar Banka, will be moving to a new role within the group and will consequently cease to be the Chief Financial Officer of the Company from September 19, 2025. Details as required under Regulation 30 of the Listing Regulations and the SEBI Master Circular No. SEBI/HO/CFD/PoD-2/CIR/P/0155 dated November 11, 2024, as amended from time to time are enclosed as Annexure - A. The Meeting of the Board of Directors of the Company commenced at 10:00 am and concluded at 10:50 am.
