Pursuant to Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, Transformers and Rectifiers (India) has informed that, Ajay S. Patil (DIN: 01217000) has submitted his resignation from the position of Independent Director of the Company, with effect from the close of business hours on 12th November 2025, citing existing professional and personal commitments. As stated in his resignation letter, Patil has confirmed that there are no reasons for his resignation other than those disclosed above. Further it has confirmed that his resignation does not affect the composition of the Board or its Committees. The Company continues to remain fully compliant with the SEBI (LODR) Regulations and other applicable laws. The resigning Director was not a member of any Committee; therefore, no change in Committee composition is required. The particulars required under Regulation 30 read with Schedule III, Para A(7B) of Part A of the SEBI (Listing Obligation and Disclosure Requirement) Regulation, 2015 are provided in Annexure – I. A copy of his resignation letter is enclosed as Annexure – II.
