Yatra Online has informed that Board of Directors of the Company at its meeting held on Sunday, November 30, 2025 has considered and took note of the notices received from the National Stock Exchange of India and BSE vide no. NSE/LIST/C/2025/1268 and SOPCReview/QTR-September 2025 dated November 28, 2025 respectively wherein fine has been levied on Company for non-compliance of Regulation 17(1) of the Listing Regulations i.e. the Composition of the Board of Directors for the quarter ended September 30, 2025. The copies of the notices are enclosed as Annexure A. The Board was also given reference to the outcome of the Board Meeting dated September 24, 2025, which was submitted to the NSE and BSE, where they have also given comments on the said non-compliance. Further, the Board also commented that Mr. Roshan Chanaka Nirmal Mendis was appointed as the Director on the Board of the Company effective from September 26, 2025, following that the Composition of the Board of Directors is in compliance with the applicable regulations. Board also noted that the Company has paid the relevant fine as levied by NSE and BSE within the prescribed timeline.
