In continuation to its letter dated November 14, 2025, regarding notice of Postal Ballot and pursuant to Regulation 44(3) of the Listing Regulations and Section 110 of the Companies Act, 2013 read with Rule 22 of the Companies (Management and Administration) Rules, 2014, RMC Switchgears has informed that the below resolutions has been duly passed by the members of the Company with requisite majority: 1. To authorize the Board of Directors under Section 186 of the Companies Act, 2013 upto an aggregate amount of Rs. 800 Crores Only. 2. To grant loan(s), give guarantee(s) to subsidiary companies and provide security (ies) in connection with any loan taken/to be taken by subsidiary companies of the company pursuant to provisions of section 185 of the Companies Act, 2013. 3. Approval of material Related Party Transactions with subsidiaries.
