Cella Space has informed that Akhilesh Agarwal (DIN:00918838) has ceased to be Independent Director of the Company upon completion of one term of 5 (five) consecutive years on 11th September 2025. However, he is redesignated as Non-Executive Non-Independent Director of the Company, liable to retire by rotation with effect from 12th September 2025. The said details was missed to be filed with the Stock Exchange within 24 hours inadvertently. In compliance with Regulation 30 of SEBI LODR Regulations, 2015 and SEBI Circular SEBI/HO/CFD/CFD-PoD-1/P/CIR2023/123 dated July 13, 2023, it has enclosed the required disclosure in Annexure A. Further, pursuant to sub-para 20 of Para A of Part A of Schedule III of SEBI LODR Regulations, 2015, Cella Space has informed that BSE vide its communication dated 1st December 2025 had levied a penalty of Rs 16,68,947 for non-submission of auditor’s report alongwith financial statement for the year 2016-17 under Regulation 33. However, the Company has made a representation for waiver of the aforesaid penalty of Rs 16,68,947. The details as required to be provided as per sub-para 20 of Para A of Part A of Schedule III of Listing Regulations are given in Annexure B.
