Further to its intimation dated June 22, 2026 regarding the Board Meeting scheduled to be held on June 27, 2026, IIFL Finance has clarified that the proposal relating to raising of funds by issuance of equity shares and/or other eligible securities is proposed for consideration by the Board solely for the purpose of seeking shareholders’ enabling approval at the ensuing Annual General Meeting. Any actual issuance of securities, if undertaken, shall be considered by the Board and/or its duly authorized committee(s) at an appropriate time, subject to shareholders’ approval, prevailing market conditions and applicable regulatory/statutory approvals.
