Pursuant to Regulation 30 of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, Fruition Venture has informed that Shefali Kesarwani (DIN: 10259458) Non-Executive Independent Director of the Company, has tendered their resignation due to personal reasons. They were relieved from the services of the Company with effect from the close of business hours on 25th June, 2026. The Company places on record its deep sense of appreciation for the services rendered by Shefali Kesarwani (DIN: 10259458) for their contribution during their tenure as the Independent Directors. The details required under Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 read with SEBI Circular No. SEBI/HO/CFD/PoD2/CIR/P/0155 dated November 11, 2024, in respect of the aforesaid resignations are enclosed as Annexure-A. Further, the Company has received confirmation from Shefali Kesarwani (DIN: 10259458) vide his letter dated 23rd June, 2026 that there are no material reasons for his resignation other than those mentioned in his resignation letter, enclosed as Annexure-B.
