Lakshmi Electrical Control Systems has informed that Finance and Operations Committee of the Board of Directors of the Company at its meeting held today has considered and approved the following: i. Incorporation of a Subsidiary Company as a part of a Consortium arrangement with BIEMSYS Private Limited and as a pre-commitment to apply for the Tender floated by New & Renewable Energy Development Corporation of Andhra Pradesh Limited for manufacturing of Electrical Vehicle (EV) Chargers and establishment of Electric Vehicle Public Charging Stations. The details as required under Regulation 30 read with Para A of Part A of Schedule 111 of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 read with SEBI Master Circular No. H0/49/14/14(7)2025-CFD-POD2/l/3762/2026 dated 30th January 2026 is enclosed as Annexure 1. ii. Entering into a Consortium Arrangement with BIEMSYS Private Limited as a pre-condition to the Tender application for manufacturing of Electrical Vehicle (EV) Chargers and establishment of Electric Vehicle Public Charging Stations. The details as required under Regulation 30 read with Para B of Part A of Schedule Ill of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 read with SEBI Master Circular No. H0/49/14/14(7)2025-CFD-POD2/l/3762/2026 dated 30th January 2026 is enclosed as Annexure 2. The Company will initiate the process of incorporation of a subsidiary and implement the terms of Consortium arrangement only upon successful award of the tender to the Company by New & Renewable Energy Development Corporation of Andhra Pradesh Limited.
