Veranda Learning Solutions has informed that the Board of Directors of the Company, at its meeting held today, Tuesday, July 14, 2026, has, considered the following matters: The Board of Directors has fixed Thursday, August 06, 2026, as the date of the 8th Annual General Meeting (AGM) of the Company for the financial year ended March 31, 2026, which will be conducted through Video Conferencing (VC) / Other Audio-Visual Means (OAVM) in accordance with the applicable provisions of the Companies Act, 2013 and the relevant circulars issued by the Ministry of Corporate Affairs and the Securities and Exchange Board of India; The Board of Directors took note of the resignation of N. Alamelu (DIN: 07921583), Independent Director of the Company, tendered vide her letter dated July 14, 2026. She will cease to hold the office of Independent Director with effect from the close of business hours on July 14, 2026. N. Alamelu has stated that her resignation is due to increasing professional commitments and time constraints and has confirmed that there are no material reasons for her resignation other than those stated in her resignation letter. The disclosure pursuant to Regulation 30 read with Schedule III of the SEBI Listing Regulations and in terms of SEBI Circular No. HO/49/14/14(7)2025-CFDPOD2/I/3762/2026 dated January 30, 2026, is enclosed as Annexure A.
