Pursuant to Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 (‘Listing Regulations’) Novus Loyalty has informed that Rajesh Sureka (DIN: 08632071) has tendered his resignation as an Independent Director of the Company with effect from close of business hours of 04th August 2026, due to personal and professional commitments. Consequent to his resignation from the Board, he shall cease to be Chairman of the Audit Committee, Member of Nomination and Remuneration Committee & Stakeholders Relationship Committee of the Company with effect from close of business hours of 04th August 2026. He has confirmed that there are no other reasons, material or otherwise, for his resignation as an Independent Director of the Company. The requisite disclosure as required under Regulation 30 read with Part A of Schedule Ill of the Listing Regulations, read with SEBI updated master circular HO/49/14/14(7)2025-CFDPOD2/l/3762/2026 dated January 30, 2026 is enclosed as Annexure I. The letter of resignation is enclosed as Annexure II.
