Pursuant to Regulation 30 read with Schedule III of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 (‘SEBI Listing Regulations’) and applicable provisions of the Companies Act, 2013, Gogia Capital Growth has informed that H D Gupta & Associates LLP, Chartered Accountants (Firm Registration No. 023017N/N500444), the Statutory Auditors of the Company, have tendered their resignation vide letter dated 28th August, 2026 at 5:16 PM, resigning from the office of Statutory Auditor of the Company with effect from the close of business hours of 28th August, 2026. The detailed information as required under the applicable SEBI requirements, including the reasons for resignation as provided by the Statutory Auditor, is set out in Annexure A to this letter. A copy of the resignation letter dated 28th August, 2026 received from H D Gupta & Associates LLP is enclosed. The Company will take necessary steps for appointment of a new Statutory Auditor to fill the resulting casual vacancy in accordance with the applicable provisions of the Companies Act, 2013, the SEBI Listing Regulations and other applicable regulatory requirements.
