In terms of Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, Telge Projects has informed that Telge Global Inc. (Previously known as Telge Projects Inc.), a material subsidiary of the Company has entered into a Share Purchase Agreement (SPA) on August 31, 2026 (date as per USA Central Standard Time) for acquisition of 100% stake in Wheaton Detailing Services, Inc., (‘WDS Inc.’). The completion of the acquisition is subject to satisfaction of certain conditions precedent as specified in the SPA. The company has informed that it is not a party to the Share Purchase Agreement. The said agreement was received by the Company on August 31, 2026. The details as required under SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 read with SEBI Circular No. SEBI/HO/CFD/CFD-PoD-1/P/CIR/2023/123 dated July 13, 2023 is given in Annexure A to this letter.
