Pursuant to Regulation 30 of the SEBI Listing Regulations, STL Networks has informed that Authorisation and Allotment Committee of the Board of Directors of STL Networks at its meeting held on today i.e., September 11, 2026, has approved the incorporation of a Wholly Owned Subsidiary (WOS), to establish, acquire, own, operate, manage and market data centre & telecommunication infrastructure, data centre solutions and connectivity services; obtain and maintain all requisite licences, approvals and authorisations from the Department of Telecommunications and other regulatory authorities; and carry on the business of providing integrated data centre and connectivity solutions, including all incidental and ancillary activities, with a focus on operational flexibility, scalability and growth in the digital infrastructure and telecommunications sector. The proposed WOS will be in the nature of a Company limited by shares, duly incorporated under the provisions of the Companies Act, 2013. The details in respect of the incorporation of WOS, as required to be disclosed under Regulation 30 of the SEBI Listing Regulations, read with the SEBI Master Circular No. HO/49/14/14(7)2025-CFDPOD2/I/3762/2026 dated January 30, 2026, is set out below in Annexure - A. The Committee Meeting commenced at 11:30 AM (IST) and concluded at 12:00 Noon (IST).
