Pursuant to Regulation 30 of the SEBI Listing Regulations, One MobiKwik Systems has informed that the National Payments Corporation of India (‘NPCI’), an organization authorized by the Reserve Bank of India under the Payment and Settlement Systems Act, 2007, for operating retail payment systems in India, including the Unified Payments Interface (‘UPI’), has, vide its circular no. NPCI/UPI/OCNo.237/2026-27 dated September 15, 2026 (‘NPCI Circular;), introduced a Merchant Discount Rate of upto 0.4% on UPI Person-to-Merchant (P2M) transactions exceeding ?2,000. The NPCI Circular shall be effective from October 15, 2026. Payment transactions that were previously not chargeable will now generate revenue for the Company’s payments business. The Company expects to earn this revenue in two ways: • as a Third-Party Application Provider (‘TPAP’), on the P2M share of its consumer UPI Gross Merchandise Value (‘GMV’); and • as an acquirer on its merchant GMV. The Circular does not permit any charge on customers, so UPI payments remain free for users. The Company views this development as a strong enabler of its plans to deepen its presence in UPI and scale its merchant business. The Company will update the stock exchanges on the impact, if required, once the Circular takes effect.
