Pursuant to Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, MPS has informed that the Hon’ble National Company Law Tribunal, Division Bench (Court–I), Chennai (‘Hon’ble NCLT’), has passed an Order dated 16 September 2026 in CP(CAA)/76(CHE)/2026, in connection with the Second Motion Petition filed in relation to the Scheme of Amalgamation between ADI BPO Services (‘Transferor Company’) and MPS (‘Transferee Company’) and their respective Shareholders and Creditors (‘Scheme’). The Hon’ble NCLT, has taken on record the reports of the Chairman evidencing the approval of the Scheme by the Equity Shareholders and Unsecured Creditors of the Transferee Company at the meetings held on 22 August 2026. The Hon’ble NCLT has further directed service of notices upon the concerned statutory and regulatory authorities for inviting their representations, if any, in respect of the Scheme. A copy of the Order dated 16 September 2026 passed by the Hon’ble NCLT is enclosed and is also being available on the Company’s website at: https://www.mpslimited.com/scheme-of-amalgamation/. The company has informed that while the aforesaid Order was pronounced on 16 September 2026, the certified copy thereof was uploaded on the website of the Hon’ble NCLT subsequently and was accordingly received by the Company on 18 September 2026. The present intimation is being made promptly upon the Company obtaining and examining the certified copy of the Order.
